Terms of Engagement
Terms governing use of this website and professional engagements with Clouddatasuite.
1. Acceptance
By accessing clouddatasuite.digital or instructing Clouddatasuite for project cost audit or related expenditure review work, you agree to these terms. If you do not agree, do not use the site or engage our services.
2. About us
Clouddatasuite provides professional project cost audit and related review services from Man Yee Building, 68 Des Voeux Road Central, Central, Hong Kong. Contact: info@clouddatasuite.digital / +852 2522 3131.
3. Website information
Content on this website is general information about our services. It is not a fee quote, audit opinion, or advice on a specific project until confirmed in a signed engagement letter.
4. Engagements
Professional work is governed by a separate engagement letter setting scope, fee, timeline, client responsibilities, and deliverables. If these website terms conflict with an engagement letter, the engagement letter prevails for that assignment.
5. Intellectual property
Reports, working papers, and website materials remain our intellectual property unless the engagement letter assigns specific rights. Clients may use final reports for internal governance and agreed third-party circulation (for example, lenders named in the letter). Redistribution for commercial publication requires our written consent.
6. Client responsibilities
Clients must supply accurate documents, grant timely access to relevant personnel, and not withhold material information. Delays in document provision may extend timelines without reducing fees already earned for work performed.
7. Liability
To the fullest extent permitted by Hong Kong law, our liability for an engagement is limited to the fees paid for that engagement, except in cases of fraud or wilful misconduct. We are not liable for indirect or consequential loss, including lost profits or financing delays, arising from use of our reports.
8. Independence and conflicts
We will decline or resign from engagements where independence is impaired. Clients must disclose related-party relationships among contractors and sponsors that could affect the audit.
9. Governing law
These terms and any dispute arising from the website or our engagements are governed by the laws of Hong Kong Special Administrative Region. Courts of Hong Kong have exclusive jurisdiction, subject to any arbitration clause in an engagement letter.
10. Changes
We may update these terms by posting a revised version on this page. Continued use of the site after posting constitutes acceptance of the revised terms.
